Ardian Acquires Majority Stake in Biofarma Group

European private equity firm Ardian struck a deal to buy a majority stake in Italy's Biofarma Group from White Bridge Investments.

WHO: Biofarma Group is the leader in Italy and Europe in the development, manufacturing, and packaging of food supplements, medical devices, probiotic-based products, and cosmetics. The group is recognized as the innovative leader in its market, offering its customers a broad portfolio of technologies and proprietary formulations by anticipating market trends. The company has 4 manufacturing facilities and 3 research and development centers that employ more than 50 R&D specialists.

WHY: The partnership with Ardian will facilitate further consolidation and international development, through continued investment in technology, diversification, and formulation of new products.

DETAILS:

  • Ardian acquires a majority stake of Biofarma from White Bridge Investments, and the Scarpa family, which founded the group will keep a 30% stake in the business.
  • Germano Scarpa and Gabriella Tavasani, founding family members, will reinvest in the company alongside Ardian.
  • Reuters reported the deal was worth about €1.1 billion ($1.26 billion).
  • Biofarma reported revenue of €230 million ($261 million) in 2021, of which around 50% from sales abroad.
  • Since 2016, the company has grown from around €30 million ($34 million) in sales to more than €230 million ($261 million), thanks to double-digit organic growth and intense M&A activity (consisting of 5 acquisitions in 4 years).
  • Maurizio Castorina will continue to lead Biofarma as Chief Executive.
  • White Bridge, led by former BC Partners investor Marco Pinciroli, took control of Biofarma in 2019 by merging it with its portfolio company Nutrilinea.
  • Nomura, BNP Paribas, and Mediobanca advised Ardian in the takeover. Canson Capital and Ethica Group were co-advisors for White Bridge.
