Natura Sells Avon's Central America Business to Grupo PDC

Natura has agreed to sell its Central American operations, known as Avon CARD, to Grupo PDC.WHO: Avon CARD comprises Avon’s operations in Guatemala, Nicaragua, Panama, Honduras, El Salvador, and the Dominican Republic.PDC operates in the consumer goods sector in Central America and Peru with an extensive portfolio of brands commercialized across Latin America.WHY: Natura has been carrying out divestitures as part of a broader organizational shakeup as it pushes for a turnaround. The business sold Aesop and The Body Shop brands.IN THEIR OWN WORDS: “This transaction supports Natura’s efforts to streamline operations and simplify its business while allowing the company to remain focused on integrating Natura and Avon in Latin America,” the company said.DETAILS:The securities filing for the deal, priced at $1, includes Avon's operations in Guatemala, Nicaragua, Panama, Honduras, El Salvador, and the Dominican Republic, which are jointly known as Avon CARD.The transaction includes an additional payment upon closing, consisting of a $22 million receivable from Avon Guatemala to Natura's wholly owned subsidiary in Mexico.Natura entered into agreements to continue supplying finished goods to Avon CARD and to act as licensor of the Avon brand in the region.Natura continues exploring strategic alternatives for the Avon International unit, which aggregates its Avon businesses outside Latin America. Natura has never controlled Avon's US operations.
